Welcome to Verbal Edge! These Terms and Conditions ("Terms") govern your use of the Verbal Edge mobile application ("App"), operated by QBounti ("we," "us," or "our"). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.
1. Acceptance of Terms
By creating an account or using Verbal Edge, you acknowledge that:
- • You have read and understood these Terms
- • You agree to comply with all applicable laws
- • You are at least 13 years old (or have parental consent if between 13-18)
- • You have the legal capacity to enter into this agreement
2. Eligibility & Age Requirements
Minimum Age: You must be at least 13 years old to use Verbal Edge. Users under 18 must have permission from a parent or legal guardian.
Account Accuracy: You agree to provide accurate, current, and complete information during registration and to update it as necessary.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
3. Subscription Services & Billing
3.1 Subscription Tiers
Verbal Edge offers the following subscription options:
Free Plan: Basic access to Letter Blitz game, limited daily sessions, basic progress tracking
Pro Plan ($9.99/month): Full access to all 4 games, unlimited practice, advanced analytics, group challenges, leaderboards
Premium Plan ($19.99/month): All Pro features plus AI-powered feedback, custom training programs, priority support
3.2 Automatic Renewal
Auto-Renewal: Your subscription automatically renews at the end of each billing period unless you cancel at least 24 hours before the renewal date.
Billing: Payment will be charged to your Apple ID or Google Play account at confirmation of purchase. Your account will be charged for renewal within 24 hours prior to the end of the current period.
3.3 Managing Subscriptions
You can manage and cancel your subscriptions by going to your account settings:
- • iOS: Settings → Apple ID → Subscriptions
- • Android: Google Play Store → Menu → Subscriptions
3.4 Cancellation & Refunds
Cancellation: You may cancel your subscription at any time. Your access to premium features will continue until the end of your current billing period.
No Refunds: Except as required by law, payments are non-refundable. No refunds or credits will be provided for partial subscription periods or unused features.
Refund Requests: All refund requests must be submitted to Apple or Google, as they process all payments. We cannot issue refunds directly.
3.5 Price Changes
We reserve the right to change subscription prices at any time. Price changes will be communicated to you in advance and will take effect at your next billing cycle. Continued use of the App after a price change constitutes acceptance of the new price.
3.6 Free Trials
If we offer a free trial, your subscription will automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial ends. You will be charged the applicable subscription fee when the trial period expires.
4. License & Usage Rights
4.1 License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use, subject to these Terms.
4.2 Prohibited Uses
You agree NOT to:
- • Modify, reverse engineer, or decompile the App or its content
- • Use the App for any illegal or unauthorized purpose
- • Attempt to gain unauthorized access to our systems or user accounts
- • Use bots, scripts, or automated tools to access the App
- • Share your account credentials with others or create multiple accounts
- • Copy, reproduce, or redistribute App content without permission
- • Interfere with or disrupt the App`'`s functionality or servers
- • Circumvent any content filtering, security, or access control mechanisms
- • Use the App to harass, abuse, or harm other users
5. User Content & Voice Recordings
5.1 Your Content
You retain ownership of all content you create through the App, including voice recordings, profile information, and user-generated content. By using the App, you grant us a limited license to use, store, and process your content solely to provide app functionality and improve our services.
5.2 Voice Recordings
Recording Policy:
- • Voice recordings are processed in real-time for speech analysis and feedback
- • Recordings are automatically deleted after 24 hours unless you explicitly save them
- • Saved recordings are stored securely and remain private to your account
- • We do not sell, share, or use your recordings for advertising purposes
5.3 Content Responsibility
You are solely responsible for the content you create or share through the App. You agree not to create or share content that is illegal, offensive, defamatory, or violates the rights of others.
6. Intellectual Property Rights
The App and its original content, features, and functionality are owned by QBounti and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Trademarks: "Verbal Edge" and related logos are trademarks of QBounti. You may not use these marks without our prior written permission.
Feedback: If you provide us with feedback, suggestions, or ideas about the App, you grant us the right to use them without compensation or obligation to you.
7. Privacy & Data Protection
Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the App, you consent to our collection, use, and sharing of your information as described in our Privacy Policy. Please review it carefully to understand how we handle your data.
8. Third-Party Services & Links
The App may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services.
App Store Services: Your subscription is processed through Apple's App Store or Google Play Store. Apple's and Google's terms and conditions apply to your purchases and subscriptions.
9. Disclaimers & Limitations
9.1 "AS IS" Basis
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.2 No Medical Advice
Verbal Edge is a speech training tool for general communication improvement. It is NOT a substitute for professional speech therapy or medical advice. If you have speech disorders or medical conditions, please consult a qualified healthcare professional.
9.3 Service Availability
We do not guarantee that the App will always be available, uninterrupted, secure, or error-free. We may modify, suspend, or discontinue any part of the App at any time without notice.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QBOUNTI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- • Your use or inability to use the App
- • Any unauthorized access to or use of our servers and/or any personal information stored therein
- • Any bugs, viruses, or malicious code in the App
- • Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR $100, WHICHEVER IS LESS.
11. Indemnification
You agree to defend, indemnify, and hold harmless QBounti, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the App; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the App.
12. Account Termination
12.1 Termination by You
You may terminate your account at any time by deleting your account through the App settings. Upon termination, your data will be deleted in accordance with our Privacy Policy.
12.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice or liability, if you:
- • Breach these Terms
- • Engage in fraudulent or illegal activities
- • Violate the rights of other users
- • Use the App in a way that harms our business
12.3 Effect of Termination
Upon termination, your right to use the App will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Changes to These Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
What constitutes a material change will be determined at our sole discretion. By continuing to access or use the App after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the App.
14. Dispute Resolution & Arbitration
14.1 Informal Resolution
If you have any dispute with us, you agree to first contact us at help@verbaledge.net and attempt to resolve the dispute informally for at least 30 days before initiating any formal proceedings.
14.2 Binding Arbitration
If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).
The arbitration will be conducted in New Jersey, United States, or another mutually agreed location. You and QBounti agree to submit to the personal jurisdiction of the arbitration.
14.3 Class Action Waiver
YOU AND QBOUNTI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
14.4 Exceptions
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
15. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New Jersey, and the parties hereby consent to personal jurisdiction and venue therein.
16. Apple App Store Additional Terms
If you access the App via Apple's App Store, the following additional terms apply:
- • These Terms are between you and QBounti only, not with Apple
- • Apple has no obligation to provide maintenance or support for the App
- • Apple is not responsible for addressing any claims by you or third parties relating to the App
- • Apple is not responsible for investigation, defense, settlement, or discharge of any intellectual property infringement claim
- • You represent that you are not located in a country subject to U.S. Government embargo or designated as a "terrorist supporting" country
- • Apple and its subsidiaries are third-party beneficiaries of these Terms and have the right to enforce them
17. Google Play Store Additional Terms
If you access the App via Google Play Store, you agree to comply with Google Play's Terms of Service, which are incorporated herein by reference.
Google is not responsible for the App or content thereof, and has no obligation or liability to you with respect to the App or these Terms.
18. Severability & Waiver
Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
Waiver: No waiver by us of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
19. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the sole and entire agreement between you and QBounti with respect to the App and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the App.
20. Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.
21. Force Majeure
We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

23. Acknowledgment
BY USING VERBAL EDGE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
If you do not agree to these Terms, you must immediately stop using the App and delete it from your device.
